With respect to the Channel Partners Portal and the Career Profile Creator as provided as part of the Website through Vanguard Vision’s third-party service providers, the Website may contain message boards, profiles, and user data submission forms and other interactive features (collectively, “Interactive Services“) that allow users to post, submit or transmit to Vanguard Vision (hereinafter, “post”) content or materials (collectively, “User Contributions“) on or through the Website.
Any User Contribution you post to the Website will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and our service providers, and each of their and our respective licensees, successors and assigns the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material for any purpose.

However, it is your responsibility to take precautions to ensure that whatever you may download from the Website is free of such items as viruses and other items of a destructive nature.

You agree to defend, indemnify and hold harmless Vanguard Vision, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website. Vanguard Vision may, in its sole discretion, participate in the defense of any such claim or action and any negotiations for its settlement or compromise. No settlement which may adversely affect our rights or obligations shall be made without Vanguard Vision’s prior written approval. Vanguard Vision reserves the right, at its own expense, to assume exclusive defense and control of any such claim or action.
SECTION 17. Waiver and Severability.
No waiver of by Vanguard Vision of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Vanguard Vision to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
SECTION 18. Export Restrictions.
You may not access, download, use or export the Website, or the content provided on or through the Website, in violation of U.S. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws and restrictions and regulations of any United States or foreign agency or authority, and not to directly or indirectly provide or otherwise make available the software, products or services of Vanguard Vision in violation of any such restrictions, laws or regulations, or without all necessary approvals.

Vanguard Vision makes no claims that information on the Website is appropriate or may be lawfully viewed, accessed, or downloaded outside of the United States. The Website is controlled by Vanguard Vision from its offices in Cranbury, New Jersey, in the United States of America. All matters relating to access to, or use of, the Website shall be governed by the laws of the State of New Jersey and the United States. Any legal action or proceeding relating to access to, or use of, the Website or the information it contains shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey. By accessing or using the Website, you agree to submit to the jurisdiction of and agree that venue is proper in, these courts in any such legal action or proceeding.
These Terms of Use will remain in full force and effect while you are a user of the Website. Vanguard Vision reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of your User Contributions from the Website and immediate termination of your ability to access the Website provided to you by Vanguard Vision, upon any breach by you of these Terms of Use or if Vanguard Vision is unable to verify or authenticate any information you submit to the Website registration. Even after you are no longer a user of the Website, certain provisions of these Terms of Use will remain in effect, including Sections 4, 5, 6, 7, 11, 12, 13, 14, 15, 16, 19 and 20.
